Article I.
Name
The name of this organization shall be the Lindley Park Neighborhood Association.
(a) The Lindley Park Neighborhood Association in this document is hereinafter referred to as the Association.

Article II.
Purpose
The purpose of the Association shall be to advocate and support those things that are beneficial to us as a residential neighborhood and oppose those things which are detrimental and:
To cooperate with governmental agencies and other organizations in matters affecting the neighborhood and provide representation of the membership at forums where these agencies and organizations are addressing such matters. To provide ways for members to meet and discuss issues affecting the neighborhood and to establish and promote communication networks to inform members of such issues. To maintain and enhance the attractive residential quality of the area and the quality of its public parks, sidewalks, and streets.
Article III.
Members
Section 1. There shall be only one class of membership in the Association and that class shall be known as member.
Section 2. On application, membership is open to all persons, regardless of race, color, gender, national origin, physical disability, creed or religious belief or affiliation, political belief or affiliation, sexual preference, financial status or age except as enumerated in Article III, Section 2 (a), who meet all of the following conditions: (a) Have reached their eighteenth birthday; or have been emancipated by their parents or guardian(s).
(b) Live in the neighborhood and/or own residential property in our neighborhood.
(c) Embrace, support and subscribe to the stated purpose of the Association.
Section 3. Any reference in these bylaws to a masculine noun, pronoun, or other gender specific word connotes also the feminine noun, pronoun or gender specific word.
Section 4. Each member shall have one vote in all proceedings and actions coming before the Association at its regular and special meetings.
Section 5. Members must be present at meetings, regular or special, to vote. No proxy vote will be allowed.

Article IV.
Contributions
Section 1. The Association does not collect dues.
Section 2. The Association shall derive its financial support from voluntary contributions from its member households or others. The Executive Board shall establish the suggested annual contribution amount for each member household. This suggested contribution amount shall not be based on the number of members in the household. (*2) Member households may contribute more or less if they so desire. Contributions are not required for membership and are strictly voluntary.

Article V.
Officers
Section 1. The officers of this Association shall be a chairman, a vice chairman, a secretary, a treasurer and a parliamentarian.
Section 2. The officers shall be nominated from the floor at the first regular meeting of the calendar year and elected immediately following. They shall hold office for one year and until their successors are elected, installed and duly qualified.
Section 3. In the event of a vacancy in the office of the chairman or vice chairman, the Association shall fill the vacancy at the next regular meeting or at a special meeting called for the purpose, with due notice thereof to all members in either case.
Section 4. In the event of a vacancy in office other than chairman or vice chairman, the executive board shall forthwith fill such vacancy.
Section 5. An officer who has served more than half of the term of office shall be regarded as having served that term.
Section 6. No member shall hold more than one office at a time.
Section 7. No member shall be eligible to serve more than two consecutive terms in the same office.
Section 8. All officers who have been legally elected to office shall be regarded as past officers of that office, regardless of the length of time they may have served in the office, except one who was expelled. Article VI.
Duties of Officers
Section 1. The chairman shall preside at all meetings of the Association and of the executive board. He shall preside over the nomination and election of the chairmen of each standing committee, or appoint chairmen of those committees if there are no nominations from the floor. He shall be an ex-officio member of all committees. He shall appoint such special committees as may be authorized by the body, and shall render a condensed annual report. He shall obey all lawful orders of the body and be thoroughly familiar with the Association’s bylaws and the rules of parliamentary law and procedure.
Section 2. The vice chairman shall assume and perform the duties of the chairman in the absence or disability of the chain-man. In the event of the resignation or death of the chairman he shall become chairman for the unexpired term. He shall be thoroughly familiar with the Association’s bylaws and the rules of parliamentary law and procedure. He shall present a brief annual report.
Section 3. The secretary shall keep an accurate record of the minutes of all meetings of the Association and executive board, making them generally available to the membership within five working days of the meeting. He shall keep a full and up-to-date roster, shall call the roll of officers and members when so required, shall notify officers, delegates and committees of their election or appointment, and shall assist the chairman in the preparation of the order of business to be considered at each meeting. He shall send out proper notices of all meetings of the Association and the executive board at least five days in advance, and shall conduct all official correspondence, unless otherwise provided for or ordered. He shall present a brief annual report.
Section 4. The treasurer shall be the custodian of the Association’s funds, except as may otherwise be provided or ordered. He shall deposit the same in such banking institution as the executive board shall authorize, and the account shall be in the Association’s name. He shall be a member ex-officio of the ways and Means Committee, and shall render an annual report, and a report at such other times as the Association may authorize.
Section 5. The parliamentarian shall be well versed in parliamentary law and in its correct practice, and shall advise the presiding officer of the Association and its members on their respective parliamentary rights when so requested or directed.
Section 6. All officers shall have the right to vote and to debate questions the same as any other member.
Section 7. The chairman, or one who presides in the chairman’s absence, shall avoid taking sides in debate with the members on questions before the Association unless he first surrenders the chair. The chairman, or one presiding in his absence, need not surrender the chair to debate an appeal from his decision on any motion; nor shall he be required to surrender the chair when debating questions at executive board meetings.
Section 8. In the absence of the chairman and vice chairman, the secretary shall take the chair, call the meeting to order and preside until a chairman pro-tem has been elected. But on the appearance of the chairman or vice chairman, the secretary or the chairman pro-tern, as the case may be, shall cease to preside and the chairman or vice chairman shall take over.
Section 9. Officers shall assume their duties upon adjournment of the meeting in which they are elected.
Oath of Office“I solemnly promise to abide by the rules, bylaws and regulations of the Association, and the lawful orders of the assembly. I further promise that I will perform the duties of my office to the best of my knowledge and ability.”

Article VII.
Executive Board
Section 1. There shall be an executive board which shall consist of the five officers, the immediate past chairman of the Association, the chairmen of the standing committees, and a district representative for each of the neighborhood districts as established by the Executive Board. The officers and other members of the Executive Board shall be elected from the general membership at the first meeting of each calendar year. (*2)
Section 2. Members attending shall constitute a quorum for the executive board at ~s regular monthly meeting or at a special meeting, when called.
Section 3. The executive board will hold a regular meeting at least once a month. In those months when a general meeting of the Association membership is held, a separate Executive Board meeting will not be required. (*1)
Section 4. Special meetings of the board may be called by the chairman, and shall be called by him at the written request of seven members of the board. No business other than that for which a special meeting is called shall be transacted except by unanimous consent.
Section 5. The board may make its own rules and bylaws not in conflict with those of thee Association.
Section 6. The board shall fill vacancies occurring within its membership and in any office except that of the chairman and vice chairman.
Section 7. The board shall also fill vacancies in standing committees, except a vacancy in their committee chairmen which shall be filled by the Association chairman.
Section 8. The board shall be the Grievance Committee, and shall have original jurisdiction and plenary power to settle and adjudicate all grievances and charges from which there shall be no appeal. All such matters shall be decided by a two-thirds vote of the entire board membership.
Section 9. All votes of the board relating to grievances or charges for suspension or expulsion from office or membership shall be by ballot. All other votes shall be by not less than a majority of the members present and voting and may be decided by any form of voting.
Section 10. The board shall, at the first regular meeting of the calendar year, present the Association’s budget for the ensuing year, which shall be open to amendment and debate. The budget shall be approved by two-thirds vote of the Association members present and voting thereon.
Section 11. The board shall have the power to fix compensation for guest speakers and instructors.
Section 12. The board shall have the duty, power and authority to examine current issues affecting our residential neighborhood and to decide which issues and to what extent our Association shall become involved in those issues based on the stated purpose of our Association.
Section 13. The board shall have the duty and the power to appoint a spokesperson to appear before various councils, commissions, boards and meetings for the purpose of apprising said groups of our Association’s position on issues affecting our residential neighborhood.
Section 14. The board shall have power to recommend to the Association any proposals, including amendments to these bylaws. The Association shall then decide these proposals in due course of proceeding. The board’s own recommendations on all matters shall be taken up under new business, unless otherwise ordered by a two-thirds vote of the Association members present and voting.
Section 15. The board shall carry out all lawful orders and instructions of the Association.

Article VIII.
Standing Committees
Section 1. There shall be the following standing committees: Ways and Means, Zoning, Parks and Recreation, Public Works, Public Safety, Newsletter, Social Affairs and Advertising/Business Liaison. (*2)
Section 2. Standing committees shall be composed of three members.
Section 3. The chairman of each standing committee shall be nominated from the floor during the first meeting of the calendar year and elected by popular vote. If no nominations are forthcoming, the Association chairman shall appoint Chairmen for the standing committees. The other two~ members of each committee will be appointed by the committee chair.
Section 4. Standing committees shall serve for one year. Terms are to run concurrent with elected officers’ terms.
Section 5. All decisions of a standing committee shall be by majority vote. A vacancy in any standing committee shall be filled forthwith by the Association chairman.
Section 6. The Ways and Means Committee shall prepare an annual budget for presentation to the Association at the first regular meeting of the calendar year. The Ways and Means Committee will work in close cooperation with the Association treasurer and will assist him as the need anses. The Ways and Means Committee shall be responsible for generating funds for the operation of the Association which may include soliciting funds from the membership and other sources and special fund-raising drives and projects. The Ways and Means Committee shall be responsible for soliciting new members and maintaining contact with old members. The Ways and Means Committee shall be responsible for maintaining a current membership roster and shall provide the Association secretary and other Association officers with said roster when needed for Association business.
Section 7. The Zoning Committee shall keep abreast of proposed property re-zonings in the neighborhood. The Committee shall research rezoning filings and report on them to the Executive Board and/or the Association’s general membership. The report will include a determination as to whether or not the rezoning poses a threat to the residential nature and general tranquillity of the neighborhood. The Committee chair will help represent the Association at public meetings concerning zoning changes in the neighborhood. The Committee chair will also mobilize Association members to appear at public meetings when necessary.
Section 8. The Parks and Recreation Committee shall concern itself with the preservation and improvement of our neighborhood parks, green spaces, and natural areas. The Committee will also keep abreast of the recreational needs of our neighborhood residents. The Committee will act as liaison between our Association and the Greensboro Parks and Recreation Department. They shall keep the said Department apprised of our needs and shall seek ways for our Association to participate in their programs or to develop programs which are suitable to the needs of our residential neighborhood.
Section 9. The Public Works Committee shall keep informed of the needs of our area in regards to streets, sidewalks, water and sewer or any other area of concern which comes under the purview of the Greensboro Public Works Department. The Committee shall act as liaison between our Association and the Department and will keep them apprised of our needs. The Committee shall seek ways to participate in their programs or to develop programs which are suitable to the needs of our residential neighborhood.
Section 10. The Public Safety Committee shall keep informed of the needs of our area in regards to public safety. The Committee will act as liaison between our Association and the Greensboro Police and Fire Departments. The Committee shall seek ways for our Association to participate in the programs of those two departments or to develop programs which are suitable to the needs of our residential neighborhood.
Section 11. The Newsletter Committee shall prepare, edit and arrange for distribution of the Lindley Park Neighborhood Association newsletter entitled “THE COLUMNS.”
Section 12. The Social Affairs Committee shall keep informed of the needs of our members in regards to social activities and functions. They will seek ways to promote the friendship, understanding, social interaction and cohesiveness among our members. They shall seek ways to participate in existing programs or to develop programs which are suitable to the needs of our residential neighborhood.
Section 13. The Advertising/Business Liaison Committee shall act as the liaison between the Association and the local business community. The committee shall be responsible for promoting advertisements in the Columns. These responsibilities also include collecting the advertising fees for deposit in the treasury and providing the related advertising copy to the Newsletter Committee. (*2)
Section 14. Special committees may be appointed by the chairman, or by or under the authority of the Association by majority vote in any case.
Section 15. The Association may, by majority vote, go into a committee of the whole for any purpose whatever, including a purpose to demonstrate the operation of proper parliamentary practice and the orderly discussion and disposition of questions before it.

Article IX.
Finances
Section 1. The Executive Board shall select a bank or other suitable financial institution to open and maintain a checking or savings account in the name of the Association. All funds received by the Association shall be deposited and kept in said account. Such account shall be selected based on the nonprofit nature of our Association.
Section 2. All Association funds shall be spent in a prudent, judicious and careful manner within the parameters of the Association’s stated purposes and in accordance with the Association’s annual budget.
Section 3. No officer, executive board member or member shall enter into any contract, either verbal or written, in the name of the Association wherein goods or services or both are exchanged for payment. This section does not prevent entering into an agreement with the City of Greensboro to participate in various programs which the City may provide unless such agreement specifies that the Association is liable for payment if it does not comply with the terms of the agreement.
Section 4. No purchase for goods and/or services shall be made if the cost of such purchase exceeds the available funds existing in the Association’s bank account.
Section 5. All purchases shall be paid for at the time of purchase, or as near as practical, with an Association bank account check.
Section 6. All Association checks shall require the signature of the Association chairman and treasurer. Article X.
Records
Section 1. All officers and committee chairpersons shall keep whatever records are ordinarily and customarily consistent with that office or that might otherwise be directed to be kept. The Association shall purchase and supply to those officers and committee chairpersons whatever media are required to record and maintain those records.
Section 2. All records, so kept, are the property of the Association.
Section 3. All officers and committee chairpersons shall turn over the records of the Association in their possession to their duly elected successor within two weeks of the installation of the new officer or committee chairperson or other times as might be required and directed.
Section 4. Rosters containing the names, addresses and telephone numbers of members are to be used for official Association business only. Any member entrusted with a roster shall guard against allowing the information contained therein to be disseminated to non-members or to the general public. In no case will rosters ever be sold or otherwise given to any individual, government agency, or company for the purpose of using said roster for a mailing list. Article Xl.
Meetings
Section 1. The Association will hold general meetings in January, May, and September for a total of three general meetings per year. The Executive Board will set the time, date and location for the January, May and September general meetings of the Association membership. (*1) The meeting shall be advertised in the LPNA newsletter, ‘THE COLUMNS,” in the issue preceding the meeting.
Section 2. Special meetings may be called by the chairman, or they may be called jointly by the Association chairman and the executive board; and they shall be called by the Association chairman upon the written request of eleven members of the Association or of seven executive board members.
Section 3. The quorum for general meetings shall consist of the members present and voting. Article XII.
Elections
Section 1. The election of officers, committee chairmen, and other members of the Executive Board will be held at the first regular meeting of the calendar year.
Section 2. The Chairman shall appoint a Nominating Committee to provide one eligible candidate for each office and Executive Board position. Additional nominations may be made from the floor at the time of the election. In the event that no resident of a neighborhood district is willing to serve as the representative for a district, that position shall then be open to a member who lives in another neighborhood district. (*2)
Section 3. All elections shall be by ballot.
Section 4. The officers shall be elected by majority vote.
Section 5. The executive board members shall be elected by a plurality vote.
Section 6. In the event of failure to elect any officer by majority vote, further balloting on that office shall continue until a majority vote has been attained.
Section 7. In the event of a tie vote in the election of executive board members, the election thereon shall be decided by lot.

Article XIII.
Order of Business
Section 1. The order of business in regular meetings of the Association, except its first meeting of the calendar year, shall be as follows: (1) Call to order by the chairman (2) Reading of the minutes and their approval (3) Reading of communications and correspondence (4) Treasurers report, bills (5) Executive board report (6) Standing committee chairmen’s report (7) Special committee reports (8) Unfinished business (9) New business (10) Good of the Association, comments, constructive criticism (11) Announcement of functions, dates or events (12) Adjournment (13) Social “hour” Section 2. The order of business at the first meeting of the calendar year shall be as follows:
(1) Call to order by the chairman (2) Reading of the minutes and their approval (3) Summary of communications and correspondence (4) Annual reports of: a) the chairman and vice chairman b) the secretary c) the treasurer d) the parliamentarian e) the executive board f) the chairmen of standing committees g) the chairmen of special committees (5) Unfinished business (6) Nomination of officers, executive board members and standing committee chairmen (7) Adjournment (8) Social hourSection 3. When a speaker (or instructional program) is planned in conjunction with a regular meeting of the Association such activities will be scheduled either prior to the call to order or after the adjournment of the business meeting. (*2)
Section 4. The order of business as listed under Sections 1 and 2 may be changed by a two-thirds vote.

Article XIV.
Disputes Between Neighbors
The Association shall not become involved in private disputes between neighbors. Any and all requests for such involvement shall be referred to the proper government and/or private agencies equipped to handle such problems.

Article XV.
Parliamentary Authority
The rules contained in Robert’s Rules of Order, current edition, shall be the parliamentary authority in all cases not covered by these bylaws.

Article XVI.
Amendments to Bylaws
These bylaws may be amended at any regular or special meeting by a two-thirds vote of the members present and voting, provided notice, including the subject of the proposed amendment, has been given in the call for the meeting.

Article XVII.
Dissolution
In the event of dissolution of the Association, the residual assets of the Association, after all bills, obligations, and encumbrances are paid in full, shall be turned over to the “Greensboro Beautiful” program to be used for landscaping or other beautification projects in our residential area.

District #4 -- Boundaries: North — Market St., West — Wendover Ave., South -- Walker Ave., East —Elam Ave. This includes: Sherrill St., Westdale, Fry St, Hermitage Rd., Berkshire, and portions of Camden, Wright Ave., Northridge St., Scott Ave and Elam Ave.

A motion was made and approved by the Executive Committee that these boundaries be accepted as the official boundaries of the Lindley Park Neighborhood Association. Adopted August 26, 2003
